Frequently Asked Questions
General Questions
What is BDRC?
BDRC is the Bharat Digital Retail Cooperative, a national multi-state cooperative society formed by and for independent retailers across India. It is member-owned and democratically controlled.
Who can join BDRC?
Independent retailers operating neighbourhood stores, kiranas, provision stores, and similar retail businesses serving local customers can join. See Who Can Join for detailed eligibility criteria.
Is BDRC a company or business?
No. BDRC is a cooperative society registered under the Multi-State Co-operative Societies Act, 2002. It is owned by its members and exists to serve member interests, not to generate commercial returns for external investors.
How is BDRC different from retail chains or franchises?
BDRC members maintain complete independence in running their businesses. There is no common branding, no mandatory procurement, and no standardized store format. The cooperative provides optional services; members choose what to use.
Membership Questions
Do I have to give up control of my business to join?
No. You maintain complete control of your business. BDRC does not dictate suppliers, pricing, inventory, or any other business decisions. Membership provides access to optional services; you choose whether and when to use them.
What does membership cost?
Members pay share capital (which represents ownership stake) and may pay a nominal membership fee. Specific amounts are defined in bylaws and communicated during the application process. Costs are kept accessible for neighbourhood retailers.
Can I leave BDRC if I want to?
Yes. Membership is voluntary. You may resign according to defined procedures. Your share capital is returned (subject to regulations), accounts are settled, and you may exit without penalty.
Do I have to participate in all BDRC activities?
No. All participation is voluntary. You choose which services to use and which collective activities to join. There is no penalty for choosing not to participate in any specific activity.
Will BDRC require me to purchase from specific suppliers?
No. BDRC never mandates procurement. While we may facilitate collective discussions with suppliers for interested members, participation is always opt-in and you maintain freedom to purchase from any suppliers you choose.
Services and Benefits
What services does BDRC provide?
BDRC provides digital enablement tools, collective intelligence about market patterns, facilitation of supplier dialogue on an opt-in basis, and connections to financial institutions for working capital. See What We Do for details.
Will BDRC help me get working capital?
BDRC facilitates connections between members and legitimate financial institutions. We do not provide financial services directly, but we work to help members access working capital through partner institutions. There is no guarantee of access; institutions make independent credit decisions.
Does BDRC provide inventory or hold stock?
No. BDRC does not hold inventory, operate warehouses, or distribute products. You continue to manage your own inventory and procurement.
How will BDRC help with digital tools?
BDRC provides access to digital tools for business operations, inventory management, and market intelligence. Tools are designed for member benefit, and you maintain control of your business data. Adoption is voluntary.
Will joining BDRC increase my sales or guarantee business success?
BDRC provides enablement, not guarantees. We offer tools, information, and collective strength. Your business success depends on your individual decisions and operations. The cooperative supports; it does not guarantee outcomes.
Governance Questions
Who controls BDRC?
Members control BDRC through democratic governance. Every member has one vote. Members elect the Board of Directors, approve major decisions, and maintain ultimate authority through the General Body.
How are decisions made?
Day-to-day operations are managed by employed management. Significant operational decisions are made by the elected Board of Directors. Major policy decisions and fundamental changes require member approval through the General Body.
Can I vote on important decisions?
Yes. You have one vote equal to every other member. You vote in Board elections and on matters requiring member approval at General Body meetings.
What if I disagree with a decision?
You have the right to voice disagreement, vote against proposals, and advocate for changes. Democratic decisions are made by majority (or supermajority for major matters), but minority views are heard and recorded.
How do I know BDRC is operating properly?
Multiple safeguards ensure proper operation: regular financial audits, transparent reporting to members, regulatory oversight by the Registrar, and member oversight through democratic governance. See Transparency and Safeguards.
Data and Privacy Questions
What happens to my business data?
You maintain ownership of your business data. BDRC may use aggregated anonymized data to generate collective intelligence, but your individual business information is protected. Data policies are subject to member governance oversight.
Will BDRC share my data with suppliers or others?
BDRC does not sell or share member business data with third parties for commercial purposes. Limited data sharing may occur for legitimate purposes (e.g., financial facilitation with your consent), but protections apply throughout.
Can I see what data BDRC has about my business?
Yes. You have the right to know what information the cooperative holds about you, how it is used, and to request corrections to inaccurate information.
Financial Questions
Is BDRC trying to make profit from members?
No. BDRC exists for member benefit, not commercial gain. Any surplus generated through efficient operations is returned to members or reinvested in member services as decided democratically by members.
How does BDRC sustain operations financially?
BDRC operates through member share capital, reasonable fees for services provided, and potentially through partnerships that generate revenue while serving member interests. Financial sustainability enables long-term member service.
Will I get financial returns on my share capital?
Returns on share capital are subject to cooperative performance and member decisions about surplus distribution. The primary benefit of membership is access to services, not financial returns. Any returns would be modest and secondary to service benefits.
Are there hidden fees?
No. All fees are transparent and disclosed before you commit. There are no hidden charges or surprise costs.
Operational Questions
How does collective supplier dialogue work?
When members express interest in discussing terms with specific suppliers, BDRC aggregates this interest and engages suppliers on behalf of interested members. Results are presented to members who then decide individually whether to participate. See Supplier Dialogue.
What if I already have good supplier relationships?
Excellent. Maintain them. BDRC does not require you to change suppliers or disrupt working relationships. Collective arrangements are additional options, not replacements.
Can I participate in some collective activities but not others?
Yes. You choose which activities serve your business needs and ignore those that do not. Participation is always opt-in and selective.
What if BDRC doesn’t work for my business?
If cooperative services do not serve your needs, you may simply not use them while maintaining membership, or you may exit membership according to defined procedures. There is no pressure to continue membership that is not valuable to you.
Regional and Scale Questions
Is BDRC available in my area?
BDRC operates as a national cooperative but may expand membership gradually by region. Contact us to confirm availability in your area or to register interest for future expansion.
Does BDRC work for small kiranas or only larger stores?
BDRC is designed for neighbourhood retailers of all sizes. Small kiranas are central to our mission. Services are designed to be accessible regardless of business scale.
I operate in a rural area. Can I join?
Yes. BDRC welcomes rural retailers. We work to accommodate rural business realities, including documentation requirements and digital adoption challenges.
Regulatory and Legal Questions
Is BDRC legally registered?
Yes. BDRC is registered as a multi-state cooperative society under the Multi-State Co-operative Societies Act, 2002. Registration provides a clear legal framework and regulatory oversight.
What regulations govern BDRC?
BDRC operates under the Multi-State Co-operative Societies Act, 2002, and rules made under the Act. The cooperative is supervised by the Registrar of Multi-State Co-operative Societies. We also comply with other applicable laws regarding data protection, financial operations, and business conduct.
Is my investment safe?
Share capital in a cooperative represents ownership stake, not a fixed-return investment. Cooperatives operate under regulatory safeguards including audits, reserve requirements, and oversight. However, as with any business entity, there are inherent risks. BDRC operates conservatively with strong governance to protect member interests.
